Terms and Conditions for B2B Business

1. Introduction These Terms and Conditions (“Terms”) govern the business-to-business (“B2B”) relationship between Bhagya Vidhata Greens (“Supplier”) and its clients (“Client”). By entering into a business transaction with the Supplier, the Client agrees to abide by these Terms.
2. Definitions

• Supplier: Refers to Bhagya Vidhata Greens the entity providing goods or services.
• Client: Refers to the business entity purchasing goods or services from the Supplier.
• Products: The goods or services provided by the Supplier.
• Agreement: The contract formed by the Supplier and Client upon acceptance of these Terms.

3. Orders and Acceptance

• All orders must be submitted in writing and confirmed by the Supplier in writing to be valid.
• The Supplier reserves the right to accept or reject any order at its discretion.
• Changes to orders must be communicated in writing and may incur additional charges.

4. Pricing and Payment

• Prices are quoted exclusive of applicable taxes unless stated otherwise.
• Payment terms will be outlined in the invoice and are due as stated
• Late payments may incur interest at a rate of 2% per month.

5. Delivery and Risk of Loss

• Delivery dates are estimates and not guaranteed. The Supplier is not liable for delays caused by circumstances beyond its control.
• Risk of loss transfers to the Client upon delivery of Products to the carrier.
• The Client is responsible for inspecting Products upon receipt and reporting damages or shortages 2 days.

6. Returns and Cancellations

• Returns are only accepted with prior written approval from the Supplier.
• Custom or special-order Products are non-refundable unless defective.

7. Difference in Quality of Product

• The Supplier warrants that Products will conform to the specifications agreed upon in writing, with a size tolerance of ±5mm and a GSM tolerance of ±5% for the paper bags.

• Any claims for non-conformance must be submitted within 3 days.
• The Supplier’s liability is limited to the repair or replacement of defective Products.

8. Limitation of Liability

• The Supplier is not liable for indirect, incidental, or consequential damages arising from the use of its Products.
• The Supplier’s total liability under any Agreement will not exceed the amount paid by the Client for the specific Products giving rise to the claim.

9. Confidentiality

• Both parties agree to maintain the confidentiality of proprietary information shared during the course of the Agreement.
• This clause remains in effect for after the termination of the Agreement.

10. Force Majeure

• The Supplier is not liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, labour disputes, or governmental actions.

11. Governing Law and Dispute Resolution

• These Terms are governed by the laws of Jaipur jurisdiction.
• Any disputes will be resolved through arbitration/mediation as agreed upon by both parties.

12. Termination

• Either party may terminate the Agreement with 30 days written notice.
• The Supplier may terminate the Agreement immediately if the Client breaches any of these Terms.

13. Entire Agreement

• These Terms constitute the entire agreement between the Supplier and the Client, superseding all prior agreements.
• Amendments to these Terms must be in writing and signed by both parties.
